These Terms of Service ("Terms") govern your access to and use of the website and services provided by Pixelcodes. Please read these Terms carefully before accessing or using our services. If you do not agree to all of these terms, you may not access or use our services.
Acceptance of Terms
Agreement to Terms
By accessing or using the Pixelcodes website and services, you confirm that you are at least 18 years of age, have read and understood these Terms of Service, and agree to be bound by them. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after any modifications constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
Services
Scope of Services
Pixelcodes provides software engineering and digital product development services including, but not limited to, custom software development, SaaS engineering, MVP development, UI/UX design, mobile app development, web development, software testing, and related consulting services. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work or service agreement.
Service Changes
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will make reasonable efforts to provide advance notice of significant changes. Pixelcodes shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.
Intellectual Property
Client Ownership
Upon full payment for services rendered, Pixelcodes transfers to the client all intellectual property rights in the custom work product created specifically for that client under the applicable engagement, including source code, designs, and documentation. This transfer is subject to any third-party components, open-source libraries, or pre-existing Pixelcodes tools incorporated into the deliverables.
Pixelcodes Property
Pixelcodes retains ownership of all pre-existing intellectual property, proprietary tools, frameworks, methodologies, and know-how that existed prior to any engagement or that are developed independently. This includes internal frameworks, development tools, and reusable components that may be incorporated into client deliverables under a non-exclusive license.
Website Content
All content on the Pixelcodes website, including text, graphics, logos, images, and software, is the property of Pixelcodes and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Confidentiality
Mutual Confidentiality
Both parties agree to keep confidential any non-public information disclosed in the course of an engagement, including technical specifications, business strategies, financial information, and any other proprietary information. This obligation survives the termination of any service agreement for a period of three (3) years.
Exceptions
Confidentiality obligations do not apply to information that is or becomes publicly available through no breach of these terms, was already known prior to disclosure, is independently developed without reference to the confidential information, or is required to be disclosed by law or regulatory authority.
Payment Terms
Fees and Payment
Fees for services are as agreed in the applicable Statement of Work or service agreement. Unless otherwise agreed, payment schedules will be outlined in the project contract. Invoices are due within the payment period specified therein. Late payments may incur interest charges as specified in the agreement.
Taxes
All fees are exclusive of applicable taxes, including GST or any other taxes as may be applicable. The client is responsible for paying all applicable taxes in addition to the agreed service fees.
Limitation of Liability
Disclaimer of Warranties
Our services are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, Pixelcodes disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses.
Limitation of Damages
In no event shall Pixelcodes be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claims arising from these terms or our services shall not exceed the amounts paid by you in the three months preceding the claim.
Termination
Termination by Either Party
Either party may terminate a service engagement as specified in the applicable project agreement. Generally, termination requires written notice and payment for all work completed up to the termination date. Pixelcodes reserves the right to immediately terminate services if the client breaches these terms or the project agreement.
Effect of Termination
Upon termination, all outstanding payments for work completed become immediately due. Each party will return or destroy the other's confidential information as requested. Provisions of these terms that by their nature should survive termination shall continue in effect, including confidentiality, intellectual property, and limitation of liability.
Governing Law
Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Mangalore, Karnataka, India. By using our services, you consent to the personal jurisdiction of such courts.
